TERMS OF USE

1.1. These Terms of Use (the "Agreement") apply to the website "WALLEX GURU" located at https://wallex.guru.

1.2. The "WALLEX GURU" website (the "Site") is owned by LLC "Fintech Standard", TIN: 2309184540, KPP: 230901001, 350065, Krasnodar Krai, Krasnodar, Im. Valery Gassia Street, 4/7 building 1.

1.3. This Agreement governs the relationship between the Site Administration of https://wallex.guru/ (the "Administration") and the User of the Site.

1.4. The Administration reserves the right at any time to modify, add or remove provisions of this Agreement without notice to the User.

1.5. Use of the Site by the User constitutes acceptance of this Agreement and any changes made to it.

1.6. The User is personally responsible for checking this Agreement for any changes.

2.1. The terms listed below have the following meanings for the purposes of this Agreement:

2.1.1 "WALLEX GURU" — an Internet resource located at the domain https://wallex.guru/, operating through this resource and its accompanying services (hereinafter — the Site).

2.1.2. "WALLEX GURU" — a site containing information about Goods and/or Services and/or other items of value to the user, the Seller and/or Service Provider, allowing the user to select, order and/or purchase Goods and/or receive a service.

2.1.3. Site Administration — authorised employees managing the Site on behalf of LLC "Fintech Standard".

2.1.4. Site User (the "User") — a person who has access to the Site via the Internet and uses the Site.

2.1.5. Site Content (the "Content") — protected results of intellectual activity, including texts, their titles, prefaces, summaries, articles, illustrations, covers, musical works with or without lyrics, graphic, textual, photographic, derivative, composite and other works, user interfaces, visual interfaces, trademarks, logos, software, databases, as well as the design, structure, selection, coordination, appearance, overall style and arrangement of this Content forming part of the Site, and other intellectual property objects collectively and/or individually contained on the website https://wallex.guru/

3.1. The subject of this Agreement is the provision to the User of access to Goods and/or services available on the Site.

3.1.1. The Site provides the User with the following types of services:

• access to the Site's search and navigation tools;
• the ability to post messages, comments, User reviews, and rate Site content;
• access to information about Goods and/or services and information about purchasing Goods on a paid/free basis;
• the ability to upload own content (photos, video, audio, books, texts).

3.1.2. This Agreement applies to all currently functioning services of the Site, as well as any subsequent modifications and additional services that may appear in the future.

3.2. Access to the Site is provided free of charge.

3.3. This Agreement is a public offer. By accessing the Site, the User is deemed to have accepted this Agreement.

3.4. Use of the materials and services of the Site is governed by the current legislation of the Russian Federation.

• The Site and the Content forming part of the Site are owned and managed by the Administration.
• The Content of the Site is protected by copyright, trademark law and other intellectual property rights, and by unfair competition law.
• Purchasing Goods offered on the Site may require creating a User account.
• The User is personally responsible for maintaining the confidentiality of account information, including the password, and for all activity conducted under the User's account.
• The User must immediately notify the Administration of any unauthorized use of their account or password, or any other security breach.
• The Administration has the right to unilaterally cancel a User account if it has not been used for more than 36 consecutive calendar months, without notifying the User.
• This Agreement applies to all additional terms and conditions for purchasing Goods and/or services provided on the Site.
• Information posted on the Site must not be construed as modifying this Agreement.
• The Administration has the right at any time, without notice to the User, to make changes to the list of Goods and services offered on the Site and/or their prices.
• The Privacy Policy at https://wallex.guru/ governs and applies to the User's use of the Site to the relevant extent.
• Any of the documents listed in clause 5.11 may be updated. Changes take effect upon publication on the Site.

• Any losses that the User may incur due to intentional or negligent violation of any provision of this Agreement, as well as due to unauthorized access to another User's communications, are not compensated by the Administration.
• The Administration is not liable for:
  • delays or failures in operations caused by force majeure, as well as any failures in telecommunications, computer, electrical and other related systems;
  • the actions of transfer systems, banks, payment systems and any delays related to their work;
  • proper functioning of the Site if the User lacks the necessary technical means for its use; the Administration is under no obligation to provide users with such means.

• The Administration has the right to disclose information about the User if applicable Russian Federation law requires or permits such disclosure.
• The Administration may, without prior notice to the User, terminate and/or block access to the Site if the User violates this Agreement or the conditions of use of the Site contained in other documents, or in case of termination of the Site or due to a technical malfunction or problem.
• The Administration is not liable to the User or to third parties for terminating access to the Site in case the User violates any provision of this Agreement or another document containing the conditions of use of the Site.
• The Administration may disclose any information collected about the User if such disclosure is necessary in connection with an investigation or complaint regarding misuse of the Site or to identify a User who may be violating or interfering with the rights of the Administration or other Users of the Site.
• The Administration may disclose any information about the User that it deems necessary to comply with applicable legislation or court orders, to enforce the terms of this Agreement, to protect the rights or safety of the organization or its Users.

• In case of any disagreements or disputes between the Parties of this Agreement, the mandatory condition before going to court is to file a claim (a written proposal for voluntary settlement of the dispute).
• The recipient of the claim must, within 30 calendar days of its receipt, notify the claimant in writing of the results of considering the claim.
• If the dispute cannot be resolved voluntarily, either Party may go to court to protect its rights under the current legislation of the Russian Federation.
• Any claim regarding the conditions of use of the Site must be brought within 5 days of the cause of action arising, except for copyright protection of materials of the Site protected by law. If this condition is not met, any such claim is left without consideration by the court.

• The Administration does not accept counter-offers from the User regarding changes to this Agreement.
• User reviews posted on the Site are not confidential information and may be used by the Administration without restrictions.
